|1.1||Welcome to U-1 ("the Website") and its associated services as operated by U-1 (or "we" or "us"). These terms ("Terms of Service") govern your use of the Website and its associated services.|
|1.2||The Website is an online platform where people may make donations and are hereinafter referred to as "Users" or "Change Agents" in order to benefit organizations of change or charitable causes ("Impact Areas") and where Change Agents may support those projects.|
|1.3||Please read these "Terms of Service" carefully. If you do not wish to be bound by these Terms of Service, you should not continue to use or access the Website or its associated services.|
|1.4||You acknowledge and agree that you have read and understood these Terms of Service and you agree to be bound by these Terms of Service each time you use the Website.|
|1.5||These Terms of Service may change or be updated from time to time. U-1 will post updates to the Terms of Service on the Website from time to time. You must check for updates whenever you access the Website. The latest version of these Terms of Service will govern any usage by you of the Website and its associated services from the date we post the revised version on the Website.|
|2.1||You can donate through either a designated directed donation by designating a percentage of your total donation to be distributed to a specific, encumbered cause ("Impact Area"). Donations can be made via PayPal account, credit or debit card, in accordance with the terms of your agreement with the credit card issuer. Donations are processed by U-1's financial partners in accordance with this agreement. Donations cannot be made by any other method. The funds will be subject to an assessment for credit card processing fees and/or cost of administration, which over the initial five years of operation are targeted to average no more than 5%. The "net sum" (donation less administrative expense) shall be distributed either in accordance with your designated donation or among the existing listed Impact Areas offered by U-1 within the Website.|
|2.2||Donations are subject to a minimum of Eleven and 11/100 Dollars U.S. ($11.11) per donation. Donations will be processed in the currency which is indicated on the U-1 website and payment pages. If a donation is made in different currency, conversion fees may apply, and may be charged to you by your financial institution. Donations can be made at any time.|
|2.3||You cannot change or cancel a donation once payment has been processed. However, you may change or designate reoccurring donations prior to payment.|
|2.4||U-1 may cancel or refund a Change Agent's donation at any time at its discretion and for any reason and, if they do so, are not required to continue with the Impact Area.|
|2.5||Change Agents may be invited by U-1 to assist in promoting a project online (spreading word on Facebook, Twitter or email) and/or by word of mouth. If you choose to do so, you must comply with all lawful instructions, guidelines and requirements imposed by U-1 when doing so. Failure to comply may lead to suspension or, in serious cases, termination of your User/Change Agent account.|
|2.6||U-1 takes no responsibility for the acts, omissions and communications of Change Agents in promoting or engaging with an Impact Area, or not.|
|2.7||When you make a donation, you may obtain a receipt from us, by following the instructions on the Website, for the amount of your donation. In some cases, donations made to an Impact Area will be tax deductible. Please refer to the description and information governing each project to determine its tax deductibility. U-1 is a 501(c)(3) entity.|
|2.8||In exchange for being allowed to use the Website, you agree that we will not be liable for any unpaid tax, interest, fines, penalties or any other claims against you in relation to the tax deductibility of your donation. You also agree to indemnify us against any claim made against us in relation to the tax deductibility of your donation.|
|3.1||You must register with U-1 and create a User/Change Agent account in order to donate or to use certain aspects of the Website. You can register by completing a registration form on the Website, or one may automatically be created for you when using certain functions of the Website.|
|3.2||You must be 18 years or older to register with U-1 and to use the Website and its associated service.|
|3.3||You must provide accurate, complete and current information when you register with U-1 and must keep this up to date. Failure to do so constitutes a breach of these Terms of Service and, in serious cases, may result in immediate termination of your account.|
You must give your real name on the Website. You must not use any name or term that:
|3.5||It is your responsibility to ensure the safety and security of your U-1 Change Agent account. You must not tell anyone the password to your User/Change Agent account or allowing any other person to access it. You must take care not to leave your password and Change Agent account details where someone else could find them.|
|3.6||You are responsible for all activity that occurs under your Change Agent account. You must legally notify U-1 of any unauthorized use of your account or password, or other known account-related security breach.|
U-1 reserves in its sole discretion the right, at any time and without notice, to:

|3.9||Making a donation to an Impact Area does not entitle a Change Agent to any interest in, or benefit from, the Impact Area.|
|3.10||To donate for an Impact Area on the U-1 Website, you must have a fully functional payment account. All donations are processed via PayPal or other credit or debit account. Your use is subject to your agreement with the pay provider. U-1 is not responsible for the performance of PayPal or the payment provider. Any technical issues or other problems with making or receiving donations should be addressed to the payment provider Customer Service Department. If the payor is unable to resolve an issue with a donation that has been made, you should contact U-1 for assistance.|
You may submit Content to us for inclusion within U-1's Website, including, but not limited to, comments. You agree that we may publish and communicate to the public any such Content. By submitting Content to U-1, you grant U-1 a perpetual, royalty-free, non-exclusive, irrevocable, worldwide and transferrable license to:

You further agree to ensure that all other persons involved in the development of Content which you submit to us provide the above consents and waivers to the extent that they own moral rights in the Content.
|3.13||You agree to do everything necessary to give U-1 the full benefit of the License.|
|3.14||All intellectual property rights comprised in or relating to the Website (including the U-1 logo and the site design) and the name U-1 belong to U-1 or our licensors. Your use of any IP owned by third parties may be subject to a third party's terms and conditions of use. Nothing in these Terms of Service (or otherwise on the Website) constitutes a transfer or license of any IP to you. You must not use any such IP without the express permission of U-1 and, if applicable, the licensor of such IP. Use of third party IP without permission may be an infringement of IP rights and is a serious breach of these Terms of Service, entitling U-1 to terminate your Change Agent account immediately (without affecting any other rights U-1 may have).|
|3.15||Except to the extent that applicable laws (including the Copyright Act 1968) prevent U-1 restraining you from doing so, you must not decompile, disassemble, or otherwise attempt to derive any source code or underlying algorithms of any part of the Website, nor copy, transfer, rent, lease, distribute (including, without limitation, communicating to the public), modify, translate or otherwise create derivative works of any part of the Website.|
If in the event a Change Agent is deemed a consumer, you may have certain rights under consumer protection legislation which cannot be excluded or limited by U-1. Your Consumer Rights may include statutory guarantees or other non-excludable protections. Nothing in these Terms of Service is intended to exclude, restrict or modify your Consumer Rights. However, to the extent that it is permitted by law to do so, and except as contained in your Consumer Rights:
|4.2||If your Consumer Rights prevent U-1 from excluding any of the representations, warranties, guarantees or other obligations referenced herein, to the extent to which U 1 is entitled to do so, and despite any other provision in these Terms of Service, U-1 limits its liability in respect of any claim relating from those non-excludable representations, warranties, guarantees or other obligations to, at U-1's option, the amount of the Change Agent's donation.|
|4.3||U-1 introduces Change Agents to Impact Areas via the Website, but it is a Change Agent's responsibility to investigate independently and satisfy themselves as to the identity of the Impact Area and the veracity of any claims on an Impact Area page. U 1 shall utilize its due diligence, but does not represent, warrant or guarantee any Impact Area, its outcome, or association with any third parties.|
To the fullest extent permitted by law, U-1 excludes all liability for any damages or loss suffered (including, without limitation, economic loss, loss of data or for direct, indirect, consequential or incidental loss) and however caused (including, without limitation, damage or loss arising in contract, tort (including, without limitation, negligence), statute or otherwise) in connection with:
|4.5||U-1 will not be liable for any delay in performance or failure to perform any of the obligations under these Terms of Service if that delay or failure to perform is due to an intervening Event. A party affected by an intervening Event will be temporarily excused from performing its obligations for the resulting period of delay, provided that the delaying party promptly notifies, in writing, of the reasons for the delay or failure to perform those obligations.|
|4.7||Upon or at any time after termination of your Change Agent account for any reason, U 1 will delete your Content except to the extent that U-1 is required to retain it by law, or your consent for U-1 to retain or use it. It is your responsibility to ensure that you have stored your Content elsewhere prior to cancelling or terminating your Change Agent account. U-1 has no obligation to provide you with a copy of your Content, and may remove and discard any data at any time from the date your Change Agent account is terminated.|
|5.1||U-1 reserves the right to modify, suspend or discontinue all or any part of the Website and its associated content at any time with or without notice. U-1 does not guarantee that any content, including your Content, will be available through the Website at all or specific times.|
|6.1||These Terms of Service are governed by the laws of the State of Florida, and the parties submit to the exclusive jurisdiction of the courts of the State of Florida.|
"Content" means all content submitted by you and made available through the Website, including, but not limited to, text, video, audio clips, graphics, photographs, images, artwork, comments, data, software and scripts. "Personal Information" means information or an opinion, whether true or not, and whether recorded in a material form or not, about an individual whose identity is apparent, or can reasonably be ascertained from the information or an opinion. "Impact Areas" means social projects created by U-1 for which U-1 campaigns for Donations through the Website. "User" and/or "Change Agent" means the holder of a U 1 User/Change Agent account who donates to Impact Areas.
Personal Information is information or an opinion (including information or an opinion forming part of a database), whether true or not, and whether recorded in a material form or not, about an individual whose identity is apparent, or can reasonably be ascertained, from the information or opinion.
U-1 recognizes the importance of your privacy, and that you have a right to control how your Personal Information is collected and used. We know that providing Personal Information is an act of trust and we take that seriously. Unless you directly give us consent to do otherwise, U-1 will only collect and use your Personal Information as set out below.

If you are receiving information from U-1 and do not wish to continue receiving this information, you may remove your name from our list by updating your contact preferences in the Website, contacting U-1 and asking to be removed from our mailing list or, in the case of emails, clicking the "unsubscribe" link [at the bottom of the message]. You can request access to the Personal Information we hold about you by making a request via email, and we will provide you with access unless we are legally authorized not to do so.
If at any time you wish to change Personal Information that is inaccurate or out of date or to have your Personal Information deleted, please contact us by email.

U-1 will endeavor to take all reasonable steps to keep secure any information which we hold about you, and to keep this information accurate and up to date. You should note that the internet is not a secure method of transmitting information and, as such, we are not responsible for the security of any information sent or received over the internet.
Please note that U-1 may use overseas facilities to store, process or back up its information. As a result, we may transfer your Personal Information to our overseas facilities. However, this does not change our commitment to keep your information secure.
U-1 websites may contain links to websites that are not operated by U 1 and the contact details for many charities and other organizations not operated by U-1. These linked sites and profiled charities and other organizations are not under the control of U-1, and we are not responsible for the conduct of those organizations.
